The Spanish Company Registry working in conjunction with the official Spanish Mercantile Register to provide you a speedy, stress free service for your corporate incorporation - a leader in Spanish company formations, whether it be a SL incorporation or a SA incorporation. The majority of the steps to form a company can be dealt with electronically, but whether you choose SL or SA you will be required to sign company documents before a qualified Spanish Notary public, although this can be dealt with by way of a specific power of attorney.
- General steps to incorporate a S.L:
- Obtain a confirmed name search certificate from the Central Mercantile Registry
- Obtain a certificate of deposit of initial capital (The minimum capital required to set up a SL is €3,006 assets are allowable in lieu of cash deposits).
- Draft the S.L. bylaws and sign the public deed of incorporation before a notary.
- Apply for an Employer Identification Number (CIF).
- File a tax return and pay transfer tax.
- Register the S.L. at the Mercantile Registry.
- A SL company can be formed within 10 working days – but generally allow 3 – 4 weeks.
- General steps to incorporate a S.A.:
- Obtain a confirmed name search certificate from the Central Mercantile Registry
- Obtain a certificate of deposit of initial capital (The minimum capital required to set up a SA is €60,102. The capital stock must be fully subscribed and at least 25% of the par value of the shares must be paid in).
- Draft the S.A. bylaws and sign the public deed of incorporation before a notary.
- Apply for an Employer Identification Number (CIF).
- File a tax return and pay transfer tax.
- Register the S.A. at the Mercantile Registry.
- Declare the foreign investment at the Foreign Investments Registry, which is attached to the Ministry of Industry, Tourism and Trade (for statistical purposes only).
- As a general rule, it takes 6 to 8 weeks to incorporate an S.A.
